General Terms and Conditions

Article 1

Milberg Amsterdam B.V. (“Milberg”) is a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) established under the laws of the Netherlands and with its registered seat in Amsterdam and registered in the trade register of the dutch chamber of commerce (Kamer van Koophandel) under number 83137238.

Article 2

These general terms and conditions apply to all instructions for services by the client to, as well as all other services provided by Milberg.

Article 3

Instructions for services shall be accepted and carried out exclusively by Milberg as contracting party. Articles 7:404, 7:407(2) and 7:409 of the Dutch Civil Code (Burgerlijk Wetboek) shall not apply.

Article 4

These general terms and conditions apply in full to all persons affiliated with Milberg, including, but not limited to persons and entities related to Milberg and employees of Milberg. These persons and legal entities can invoke these general terms and conditions. All that is stipulated in these general terms and conditions for the benefit of Milberg applies to them as an irrevocable third-party stipulation for no consideration (derdenbeding om niet).

Article 5

Any liability of Milberg is limited to the amount paid out in respect thereof under its professional liability insurance policy, increased by the amount of the applicable deductible (eigen risico).

Article 6

The client indemnifies Milberg and all persons associated with Milberg for all consequences of claims by third parties arising out of or in connection with the execution of instructions or other provision of services by Milberg.

Article 7

Milberg may engage third parties at the client’s expense under the terms stipulated by such third parties. Milberg may accept such terms, including any limitation of liability, on behalf of the client. Milberg cannot be held liable for any act or omission of such third parties.

Article 8

All legal relationships between the client and Milberg shall be governed by the laws of the Netherlands.

Article 9

Any dispute between the client and Milberg shall be submitted exclusively to the court of Amsterdam, the Netherlands.
